The board of the Pacific Southwest District (PSWD) working in association with members of the Pacific Northwest District (PNWD), the Mountain Desert District (MDD), the Pacific Central District (PCD) along with the Pacific Western Region (PWR) propose the following bylaw amendment.  The board has scheduled a special meeting for review and vote on this proposed bylaw amendment for August 21, 2021, 10:00 – 11:00am (PT).

The PWSD Board will also be holding two more listening sessions, for questions and answers from the constituency, these are scheduled for Monday, June 7, 6:00-7:30pm (PT) and Saturday, July 17, 9:00-10:30am (PT).

Fully new addition to the bylaws as presently the bylaws are silent on the action how to dissolve:

ARTICLE X – DEDICATION OF PROPERTY

Section 1. Dissolution

Section 1. The PSWD can be dissolved using one of the following procedures:

(a)  a two thirds majority vote of the membership voting at an annual or special meeting, declaring the PSWD dissolved

(b)  a unanimous vote of the remaining Directors at a regular or special board meeting, declaring the PSWD dissolved in the absence of a quorum at an annual or special meeting.

Section 2. Upon dissolution, all former member Congregations and Associate Organizations of the PSWD shall be notified by the Secretary or Board designee of the dissolution and provide information containing the date of dissolution.
